Background

FreeBonde AB, 559492-1396, (the “company“) entered into bankruptcy on July 27, 2026 at Stockholm District Court, whereupon lawyer Linda Schenholm at Advokatfirman Carler was appointed as bankruptcy administrator.

The company has conducted wholesale trade in, among other things, groceries, foodstuffs and sales of household appliances such as planting machines.

The bankruptcy estate hereby requests tenders for the business and its assets.

The Business and Its Assets

The assets offered for sale by the bankruptcy estate are:

a) Fixtures, fittings and inventory, mainly listed in Appendix 1

b) The right to assume the company’s existing agreements, e.g. leasing and
rental agreements (subject to the counterparty’s approval)

Reservations

The bankruptcy estate transfers all property in its existing condition. It is the buyer’s responsibility to carry out the necessary inspection of the property in order to clarify, for example, the scope of the property and to identify any defects and deficiencies. The bankruptcy estate provides no warranties regarding the accuracy and completeness of the information provided in this tender document or otherwise.

The bankruptcy estate provides no guarantees regarding the possibilities for a buyer to use or dispose of intellectual property rights. Use of transferred intellectual property rights takes place at the buyer’s risk.

A takeover of property covered by agreements relating to, for example, rent, leasing or instalment purchase requires the approval of the counterparty to the respective agreement.

Conduct of the Bidding Process

Tenders are primarily invited for the business as a whole and, secondarily, for parts of the business and its assets. Written tenders, excluding VAT, regarding the business or parts of the business/assets, must be received by the bankruptcy estate, via associate lawyer Moa Nilsson, at [email protected] no later than August 31, 2026 at 12.00.

The highest bid may be communicated to the other bidders, who will then be given the opportunity to increase their bid within a shorter period determined by the bankruptcy estate. However, the bankruptcy estate will not disclose who has submitted bids.

The right to freely consider received bids is reserved, as is the right to sell all or part of the business while the tender process is ongoing, as well as the right to extend the tender period.
