Background

Goodtech Solutions AB (“the company“) was declared bankrupt on March 25, 2025, and attorney Linda Schenholm at Advokatfirman Carler was appointed as bankruptcy trustee. The company specializes in robotization, automation, and digitalization. The company is a leader in fully automated manufacturing solutions – including robotics, automation, SCADA, Manufacturing Execution Systems (MES), automated production lines, packaging solutions, and power distribution systems.

At the time of the bankruptcy, the company’s operations were ongoing and the company had approximately 35 employees. The company’s operations are conducted from leased premises in Karlstad. Operations have continued since the bankruptcy under the management of the bankruptcy estate.

The bankruptcy estate hereby invites tenders for the business and its assets.

The Business and Its Assets

The assets offered for sale by the bankruptcy estate are:

  • Equipment and inventory etc., primarily listed in Appendix 1
  • Intangible assets in the form of the domain goodtech-solutions.se, drawings, codes, other project documentation, etc.
  • The right for a buyer to negotiate regarding entry into the bankruptcy company’s contracts, or otherwise enter into agreements, with the respective counterparty, e.g., customers, landlords, and lessors

Reservations

The bankruptcy estate transfers all property in its existing condition. It is the responsibility of a buyer to carry out the necessary inspection of the property in order to clarify, for example, the scope of the property and to detect any faults or deficiencies. The bankruptcy estate does not provide any guarantees regarding the accuracy and completeness of the information provided in this tender document or otherwise.

The bankruptcy estate provides no guarantees regarding the possibilities for a buyer to use or dispose of intellectual property rights. Use of transferred intellectual property rights takes place at the buyer’s risk.

A takeover of property covered by agreements regarding, for example, rent, leasing, or installment plans requires the approval of the counterparty in the respective agreement.

Conduct of the Bidding Process

Tenders are primarily accepted for the entire business and secondarily for parts of the business and its assets.

Written tenders, excluding value-added tax, regarding the business or parts of the business/assets, must be received by the bankruptcy administration through attorney Malin Sanderson at [email protected] no later than April 1, 2025, at 12:00 PM.

The highest bid may be communicated to other bidders who, in such cases, will be given the opportunity to increase their bid within a shorter period of time determined by the bankruptcy estate. The bankruptcy estate will not disclose who has placed bids.

The right to freely evaluate received bids is reserved, as is the right to sell all or part of the business while the tender process is ongoing, and the right to extend the tender period.
