Background

New Black AB, 556833-7454, was declared bankrupt on 22 November 2024 and attorney Peter Eriksson at the law firm Carler was appointed as bankruptcy trustee. New Black AB previously conducted retail trade in clothing sold in-store and through resellers. The business has been wound down for some time, and what is now being offered for sale is the company’s intangible assets, including intellectual property rights.

The company was not conducting any active business at the time of the bankruptcy and has no employees.

The bankruptcy estate hereby invites tenders for the business and its assets.

The business and its assets

The assets offered for sale by the bankruptcy estate are intangible assets in the form of;

a. Trade-/brand identifiers, logos, including “New Black”
b. The domain newblack.se
c. Archive of over 1,300 product designs (Stock Keeping Units, SKUs)
d. Archive of over 200 unique graphic fonts (placement prints and all over prints)
e. Graphic design/visual content developed over 12 years
f. List of manufacturers/suppliers and resellers, including contact details
g. Verified Instagram account with approx. 12,000 followers
h. Facebook account with approx. 19,000 followers
i. Customer database with approx. 22,000 customers, including email addresses.

Reservations

The bankruptcy estate transfers all property in its existing condition. It is the buyer’s responsibility to carry out the necessary inspection of the property in order to clarify, for example, the scope of the property and to detect any defects and deficiencies. The bankruptcy estate provides no warranties regarding the accuracy and completeness of the information provided in this tender documentation or otherwise.

The bankruptcy estate provides no warranties regarding a buyer’s ability to use or dispose of intellectual property rights. Use of the transferred intellectual property rights is at the buyer’s own risk.

The takeover of property covered by agreements regarding, for example, rent, leasing or instalment payments requires approval from the counterparty to the respective agreement.

Conduct of the bidding process

Tenders are primarily accepted for the entire business/all assets and secondarily for parts of the assets.

In the event of a sale of the business as a whole from a bankruptcy estate (as is the case here), VAT is generally not charged on the purchase price, which is typically the case when purchasing individual assets/parts of the business from the bankruptcy estate.

Written tenders, excluding VAT, regarding the business or parts of the business/assets, must be received by the bankruptcy administration via Carl Widstrand at [email protected] no later than 16 December 2024.

The highest bid may be communicated to the other bidders, who will then be given the opportunity to increase their bid within a short period determined by the bankruptcy estate. However, the bankruptcy estate will not disclose who has submitted bids.

The right to freely evaluate received bids is reserved, as is the right to sell all or part of the business while the tender process is ongoing, as well as the right to extend the tender period.
