Regarding the sale of assets in the bankruptcy of BBI Better Business International AB

On 28 May 2026, BBI Better Business International AB (the “Company”), 556570-8640, was declared bankrupt by Stockholm District Court, whereupon attorney Linda Schenholm of Advokatfirman Carler was appointed as bankruptcy administrator.

The Company is the parent company of the BBi Group, which conducts business within language training, intercultural communication, and recruitment services. The Group’s vision is to provide tailored solutions for different customer needs. Against this background, the business has developed a substantial customer register comprising both major national and international customers in both the private and public sectors.

At the time of the bankruptcy, operations were conducted through the wholly owned subsidiaries in Finland and Spain. The Group also includes a Swedish subsidiary that has been declared bankrupt and a dormant subsidiary in Norway. The business is based on the proprietary digital learning platform “MyBBI”.

The Finnish operations are conducted under the BBi Nordics brand and constitute a leading player in “workforce mobility”, with a focus on international recruitment, language training, and IC training, primarily aimed at the healthcare sector. The company has a unique market position as the first private partner in Finland’s EURES network and is a selected provider of official language tests for the Finnish National Agency for Education. The business has framework agreements with several Swedish regions and has recently won a three-year agreement with the Government of Åland. The business generated revenue of approximately SEK 4.5 million during the 2025 financial year. The organisation is run by a core team of four employees with combined expertise in several languages and cultures. The business is supplemented by a network of approximately 20 active teachers and consultants who are engaged as needed.

The Spanish operations are profitable and hold a leading market position, particularly within intercultural communication. The business has grown successfully through important acquisitions in recent years. During the 2025 financial year, the business generated revenue of approximately SEK 14.5 million, with a positive result of approximately SEK 226 thousand. The customer base is broad and active, with a large number of recurring customers generating a high and steady project volume. The business also has experience working with the Spanish system for subsidised corporate training, Fundae. The organisation consists of a competent and multilingual team of eight employees, strategically located in Barcelona, Madrid, and Salamanca, supplemented by a network of more than 140 freelance teachers engaged according to customers’ needs.

The Business and Its Assets

The bankruptcy estate hereby invites tenders for the Company’s assets:

a. The shares in the wholly owned and active subsidiaries in Spain and Finland.

b. Intellectual property rights, including the proprietary learning platform “MyBBI” and its complete content of modules, exercises, and course materials, as well as associated established trademarks and trade names.

c. The right to assume the Company’s existing agreements, for example with customers and suppliers, subject to the counterparty’s approval.

Reservations

The bankruptcy estate transfers all property as is. It is incumbent upon a buyer to carry out any required inspection of the property in order to ascertain, for example, the extent of the property and to discover any defects or deficiencies. The bankruptcy estate provides no warranties as to the accuracy and completeness of the information provided.

The bankruptcy estate provides no warranties regarding a buyer’s ability to use or dispose of intellectual property rights. The use of transferred intellectual property rights is at the buyer’s risk. The assumption of property covered by agreements concerning, for example, rent, leasing, or installment payments, requires the approval of the counterparty in the respective agreement.

The bankruptcy estate reserves the right to correct any typographical errors or inaccuracies in this tender documentation.

Conduct of the Bidding Process

Tenders are primarily invited for all of the above-mentioned assets and, secondarily, for parts thereof.

Interested parties are hereby invited to submit written tenders, excluding VAT, for all or parts of the assets. Bids must be received by the bankruptcy administration through [email protected], no later than 18 June 2026 at 12:00 noon.

All bids must be financed and payable immediately and must clearly state the bidder’s name and contact details.

The bankruptcy estate reserves the right to freely evaluate the bids received, as well as the right to sell all or parts of the assets while the tender procedure is ongoing and the right to extend the tender period.
