Background
T Carlsson Bokförlag AB (”the company”) was declared bankrupt on September 28, 2026, and attorney Dan Bengtsson was appointed as bankruptcy trustee. The company is a publishing house that has been in operation since 1983. Its activities have primarily consisted of publishing non-fiction literature in areas including history, cultural history, art, architecture, ethnology, society, and politics. Since its inception, the company has published over 3,000 book titles and had approximately 400 titles in stock at the time of the bankruptcy.
The company’s operations have encompassed the entire publishing process, from manuscript work and editorial processing to the publication and marketing of books. Warehousing and distribution to retailers have been handled through an external distribution solution (primarily through a third-party warehousing solution with Förlagssystem).
The company has conducted its operations from leased premises on Stora Nygatan in Gamla stan, Stockholm. At the time of the bankruptcy, the company’s operations were ongoing, and it had six employees.

The bankruptcy estate hereby requests tenders for the business and its assets.
The Business and Its Assets
The assets offered for sale by the bankruptcy estate are:
a) Inventory, furniture, and computers, etc., mainly listed in Appendix 1. List under preparation, to be sent shortly.
b) Publishing agreements with authors, see Appendix 2.
c) Printed books and other book inventory located on the company’s premises, as per images in Appendix 3.
Note that these books constitute additional editions of some of the books listed in Appendix 4 below.
d) Printed books held by the external warehouse provider Förlagssystem, as per Appendix 4
e) The bankruptcy estate’s right to planned but unpublished titles at the time of bankruptcy, as per Appendix 5
f) Intangible assets in the form of:
the domain name carlssonbokforlag.se and associated website
Trade names such as ”Carlsson Bokförlag” and associated logos and similar rights
g) The right to assume the company’s existing agreements (conditional on the counterparty’s approval) such as lease agreements.
Reservations
The bankruptcy estate transfers all property in its existing condition. It is the buyer’s responsibility to carry out the necessary inspection of the property in order to clarify, for example, the scope of the property and to identify any defects and deficiencies. The bankruptcy estate provides no warranties regarding the accuracy and completeness of the information provided in this tender document or otherwise.
The bankruptcy estate provides no guarantees regarding a buyer’s ability to use or dispose of intellectual property rights, including publishing agreements. The use of transferred intellectual property rights is at the buyer’s risk.
A takeover of property covered by agreements relating to, for example, rent, leasing or instalment purchase requires the approval of the counterparty to the respective agreement.
The bankruptcy estate reserves the right regarding any inaccuracies in this tender documentation.
Specifically regarding publishing agreements with authors
The transfer of publishing agreements with authors according to b) and trade names according to f) above primarily requires a transfer of the company’s business operations.
A copyright can be transferred as part of a business transfer without requiring individual consent from the author in accordance with Chapter 3, Section 28 of the Copyright Act.
Conduct of the Bidding Process
Bids are primarily accepted for the entire business operations and secondarily for parts of the business operations and its assets. The bankruptcy estate views positively selling the company’s inventory separately and the publishing business operations separately. It is also possible to bid on individual book titles.
Written bids, excluding VAT, concerning the business operations or parts of the business operations or assets, must be submitted to the bankruptcy administration through the case officer, assistant lawyer

All bids must be financed and payable immediately and must clearly state the bidder’s name and contact details.
The highest bid may be communicated to other bidders, who will then be given the opportunity to raise their bid within a shorter timeframe determined by the bankruptcy estate. However, the bankruptcy estate will not disclose who has submitted bids.
The right to freely assess received bids is reserved, as is the right to sell all or part of the business operations and its assets during the bidding process, and the right to extend the bidding period.
