Background

Waynes Coffee Sweden AB, 559482-9375, was declared bankrupt on June 30, 2026, whereupon attorney Dan Bengtsson was appointed trustee in bankruptcy.

Waynes Coffee Sweden AB (“WCS” or “the Company“) has operated café operations. At the beginning of 2025, the Company took over the franchise operations for the Swedish market from Wayne och Margaretas Coffee AB (“WMC“). The intellectual property rights to the Waynes brand remain with WMC. In connection with the transfer, the Company entered into a master franchise agreement with WMC, which granted the Company the right to operate the franchise business under the Waynes brand. The master franchise agreement, the franchise concept and all franchise agreements with franchisees were transferred prior to the bankruptcy.

Premises

At the time of the bankruptcy decision, there were approximately 50 franchisees, five company-owned cafés and two cafés where WCS owns the equipment and holds the lease agreements, but where operations are run by an external operator. For approximately 20 of the franchisees, WCS is the tenant under the premises leases, as the landlords have not wished to enter into agreements with the franchisees. In addition, WCS has entered into leasing agreements on behalf of certain franchisees.

Appendix 1 contains a list of these leased premises, with further details on whether the premises have been returned, whether any lease has been forfeited by the landlord, and other relevant information regarding the premises. If there is interest in these premises, please refer to the respective landlord.

Of the five premises in which the business has been operated directly by the Company, three have been returned to the respective landlord. For these, it may be possible to assume the rights under the lease agreements, subject in all cases to the approval of the respective contractual counterparty.

Property

Most of the property located in the five premises in which the business has been operated directly by the Company is leased; see Appendix 2. The investigation of the Company’s assets is currently ongoing and the list may be updated. This primarily concerns the Company’s cafés in PK-huset in Stockholm and at Bromma Hospital, as well as its warehouse premises in the Slakthusområdet area. An updated list can be sent upon request once it has been prepared.

The property covered by leasing has formally been returned to the respective lessor in the sense that the bankruptcy estate has not assumed the agreement or asserted any claim to the property. Repossession has, to the best of our knowledge, not yet taken place. It is possible to negotiate with the respective lessor regarding taking over leased property.

Conduct of the Bidding Process

Interested parties are hereby invited to submit written bids, excluding VAT, for the Company’s assets (as well as the right to assume agreements) no later than 10 August 2026, at 12:00 PM.

If several bids are submitted for the same property, the highest bid may be communicated to the other bidders, who may then be given the opportunity to increase their bid within a short period determined by the bankruptcy estate. The bankruptcy estate will not disclose who has submitted bids.

The bankruptcy estate reserves the right to freely evaluate the bids received, as well as the right to sell all or part of the property while the tender process is ongoing and the right to extend the bidding period.
