Background
Gibon Stockholm AB (“Gibon” or “the company“) was declared bankrupt on December 3, 2024, and attorney Peter Eriksson at Advokatfirman Carler was appointed as bankruptcy trustee.
Gibon has conducted business in IT infrastructure from leased premises at Frösundaviks allé 1, 169 70 Solna. In its operations, the company has offered innovative solutions for digital environments. The company has been able to offer customers a comprehensive package including sales, service, and support of, among other things, hardware, IT infrastructure, IT operations, IT security, web development, cloud services, business systems, telephony, and fiber. The business has been conducted under the brand name GIBON, which is a nationwide corporate group.
The company has approximately 21 employees.
The business continues to operate under the administration of the bankruptcy estate since the bankruptcy commenced.
The bankruptcy estate hereby requests proposals for the business and its assets.
The Business and Its Assets
The assets offered for sale by the bankruptcy estate are:
a) Customer register with approximately 350 active customers.
b) Owned copiers and other machines. Inventory is in progress and the request for proposals will be supplemented with a list (forthcoming Appendix 1). It is estimated that the inventory consists of approximately 280 machines as well as owned copiers at customer locations totaling approximately 400 copiers. Of the machines in inventory, two are completely new, while the rest are repossessed machines.
c) Fixtures and fittings, etc., at the company’s head office. Inventory is in progress and the request for proposals will be supplemented with a list (forthcoming Appendix 1).
d) Intangible assets in the form of the domains listed in Appendix 2.
e) The right for a purchaser to negotiate regarding assumption of the company’s agreements, or otherwise enter into agreements, with respective counterparties, e.g., customers, suppliers, and others.
Additional information
The company’s most recent income statement and balance sheet are attached, Appendix 3. Revenue in 2023 consisted of (approximately) 21% IT hardware, 27% IT services, 26% print hardware, and 26% print services.
The company’s service agreements cover approximately 300 customers and approximately 1,400 machines.
The company has generated revenue in the order of SEK 10 million per year from its 10 largest customers.
The machines used by the company’s customers are primarily owned by Nordea Finans, which leases the machines to the customers. The machines are purchased from Konica Minolta.
The company’s staff has consisted of:
Management positions: 3 persons
Business support: 2 persons
Sales and marketing communications: 4 persons
Service desk: 3 persons
Print technicians: 4 persons
Infrastructure technicians: 5 persons
All staff have been terminated by the bankruptcy estate.
Reservations
The bankruptcy estate transfers all property in its existing condition. It is the responsibility of a purchaser to conduct the necessary inspection of the property in order to clarify, for example, the scope of the property and to discover any defects or deficiencies. The bankruptcy estate provides no guarantees regarding the accuracy and completeness of the information provided in this request for proposals or otherwise.
The bankruptcy estate provides no guarantees regarding the possibilities for a purchaser to use or dispose of intellectual property rights. Use of transferred intellectual property rights is at the purchaser’s risk.
Assumption of property covered by agreements regarding, e.g., lease, leasing, or installment purchase requires approval from the counterparty in the respective agreement.
Conduct of the Bidding Process
The objective is to enter into an agreement for business transfer with transfer of possession before the Christmas holidays. Proposals are primarily accepted for the entire business and secondarily for parts of the business and its assets.
Written proposals, excluding value-added tax, regarding the business or parts of the business/assets, must be submitted to the bankruptcy trustee through Stephan Chaanine at [email protected] as soon as possible but no later than December 12, 2024, at 12:00 PM.
The highest bid may be communicated to other bidders, who will then be given the opportunity to increase their bid within a shorter period determined by the bankruptcy estate. The bankruptcy estate will not disclose who has submitted bids.
The right to freely evaluate received bids is reserved, as well as the right to sell all or part of the business while the bidding process is ongoing and the right to extend the bidding period.
