Background

C-Medical Urology SH AB (in bankruptcy) (“C-Medical Urology” or “the company“), 556570-6586, was declared bankrupt on September 2, 2024, and attorney Linda Schenholm of the law firm Carler was appointed as bankruptcy administrator.

C-Medical Urology has operated an outpatient urology clinic and surgical activities, providing robot-assisted urological surgeries such as prostatectomies and transurethral surgeries.

The business operates from leased premises at Sophiahemmet in Stockholm. C-Medical Urology had two separate lease agreements with Sophiahemmet, one for the outpatient clinic and one for the operating room where surgeries were performed. The company also had associated service and cooperation agreements with Sophiahemmet and an agreement with Capio Artro Clinic regarding ancillary services for surgery.

C-Medical Urology conducted its operations as described above until August 30, 2024, with 13 employees and four consultants, and at the time of bankruptcy, the company had two employees. During the financial year 2023, the company had a turnover of approximately SEK 66.7 million, and for the financial year 2022, the turnover was approximately SEK 69 million.

The bankruptcy estate hereby invites tenders for the business and its assets.

The Business and Its Assets

The assets offered for sale by the bankruptcy estate are:

a) Inventory, etc., mainly listed in Appendix 1.

b) Intangible assets in the form of the domain uroclinic.se and trade/brand names.

c) The right to enter into the company’s existing agreements, e.g., leasing and rental contracts (subject to the counterparty’s approval).

Reservations

The bankruptcy estate transfers all property in its existing condition. It is incumbent upon a buyer to carry out the necessary inspection of the property to clarify, for example, the scope of the property and to discover any defects or deficiencies. The bankruptcy estate provides no guarantees regarding the accuracy and completeness of the information provided in these tender documents or otherwise.

The bankruptcy estate provides no guarantees regarding the possibilities for a buyer to use or dispose of intellectual property rights. The use of transferred intellectual property rights is at the buyer’s risk.

The takeover of property covered by agreements concerning, for example, rent, leasing, or installment payments requires the approval of the counterparty in the respective agreement.

Conduct of the Bidding Process

Tenders are primarily accepted for the entire business and secondarily for parts of the business and its assets.

Written tenders, excluding VAT, concerning the business or parts of the business/assets, must be received by the bankruptcy administration via Carl Widstrand at [email protected] no later than September 13, 2024, at 12:00 PM.

The right to freely review received bids is reserved, as is the right to sell all or part of the business during the tender process and the right to extend the tender period.
