Background

Kiron Care AB (”the company”), 559040-2896, was declared bankrupt on November 22, 2024, by the Stockholm District Court, and attorney David Rutegård was appointed as bankruptcy trustee.

The company is a private healthcare provider that has offered psychiatric care for children and adolescents, as well as so-called consultant-supported foster care. Until October 2024, the operations also included care through placement in residential care homes (HVB homes).

The company has operated two different clinics within child and adolescent psychiatry; a private clinic in Karlstad and one in Hedemora, which has an outpatient care agreement with Region Dalarna. Both clinics have been operated in rented premises.

The foster care operations have primarily been conducted in Central Sweden, with placements in foster homes from Gävle in the north to Örebro in the south. At the time of the bankruptcy, there were approximately 20 active placements, commissioned by five different municipalities, in foster homes affiliated with the company’s operations.

The HVB operations, which were discontinued at the time of the bankruptcy, were conducted in properties owned by wholly-owned subsidiaries of the company. These properties have been listed for sale since before the bankruptcy.

At the time of the bankruptcy, the company’s operations were ongoing, and the company had nearly fifty employees engaged in its various business areas.

The company’s turnover for the financial year 230701-240630 was SEK 30.4 million. For the financial year 220701–230630, the company’s turnover was SEK 27.2 million. Over the past 12 months (November 2023-October 2024), the turnover was distributed among the company’s business areas as follows:

Child and Adolescent Psychiatry: SEK 8.210 million

Foster Care: SEK 15.229 million

Residential Care Homes (HVB homes): SEK 8.401 million (business area discontinued as of October 2024)

Within the framework of the bankruptcy, the company’s shares in the property-owning subsidiaries, Huntdog Real Estate AB and Huntdog Real Estate Tuna 1:12 AB, are also offered for sale. The subsidiaries own the properties HAGFORS HARA 1:146 and KÖPING TUNA 1:12, respectively.

The bankruptcy estate hereby invites tenders for the business and its assets.

The Business and Its Assets

a) Inventory, etc., mainly listed in Appendix 1 (primarily subject to leasing/installment payment terms)

The assets offered for sale by the bankruptcy estate are:

b) Intangible assets in the form of the domain “tryggafamnen.nu”, trade/brand name “Kiron Care”, and customer register.

c) The right to enter into the company’s existing agreements, e.g., leasing agreements and assignment agreements with Region Dalarna and other
principals (subject to the counterparty’s approval).

d) The shares in the wholly-owned subsidiaries Huntdog Real Estate AB and Huntdog Real Estate Tuna 1:12 AB.

Reservations

The bankruptcy estate transfers all property as is. It is incumbent upon a buyer to carry out the necessary inspection of the property to clarify, for example, the scope of the property and to discover any defects and deficiencies. The bankruptcy estate does not provide any guarantees regarding the accuracy and completeness of the information provided in this tender document or otherwise.

The bankruptcy estate provides no guarantees regarding a buyer’s ability to use or dispose of intellectual property rights. The use of transferred intellectual property rights is at the buyer’s risk.

An acquisition of property covered by agreements concerning, for example, rent, leasing, or installment payments requires the approval of the counterparty in the respective agreement.

Conduct of the Bidding Process

Tenders are primarily accepted for the entire business and secondarily for parts of the business and its assets. However, this does not apply to the shares in the wholly-owned subsidiaries.

Written tenders, excluding VAT, concerning the business or parts of the business/assets, must be received by the bankruptcy administration via Freja Lindqvist at [email protected] no later than December 4, 2024, at 12:00 PM.

The right to freely assess received bids is reserved, as is the right to sell all or part of the business during the tender process and the right to extend the tender period.
