Background

Zipforce AB, 559079-9663, (the ”company”) was declared bankrupt on November 12, 2025, whereby attorney Peter Eriksson was appointed as bankruptcy trustee.

The company has developed a portable electric motor that converts regular bicycles into e-bikes. The patented e-bike motor is hereinafter referred to as ”Zipforce”. The company was started to create an economical and smart alternative in the e-bike market. The vision has been to electrify existing bicycles, thereby extending their lifespan and increasing their range of use. The patented Zipforce kit is compatible with virtually all bicycle models.

Further information about Zipforce products is available on the company’s website https://zipforce.se/. As of the date of bankruptcy, the company had a Trustpilot rating of 4.7 out of 5, based on over 200 customer reviews. In total, over 5,000 units have been sold, with the Swedish market accounting for over 80% of purchases.

Operations have been conducted from leased premises at Dalagatan 76 in Stockholm. Operations in Sweden have included product development, manufacturing, sales, customer support, and distribution.

Sales have primarily taken place through the company’s own website, which is translated into four different languages: Swedish, English, German, and Dutch. The company has established collaborations with retailers in Sweden as well as a small number in Germany, the Netherlands, and Italy.

As of the date of bankruptcy, the company’s three employees had been given notice of termination.

The bankruptcy estate hereby invites tenders for the company’s business operations and its assets.

The Business and Its Assets

The assets offered for sale by the bankruptcy estate are:

a) Inventory, equipment, etc., mainly listed in Appendix 1.

b) Patent regarding Zipforce (Electric friction drive device and electric drive system), with publication number SE 541446 and application number SE 1751191-6.

Images and technical information linked to the patent can be found in the Swedish Patent Database (Svensk Patentdatabas, Patent SE 1751191-6, SE 541446).

c) Trademark registration, class 12, with registration number 613726, for the following figure and text in the mark:

d) Websites with e-commerce platform (WooCommerce);

e) An app, in which Zipforce customers can view statistics and select settings for their Zipforce product.

f) The right to enter into orders for goods for the production of Zipforce kits as follows:

  • Motors: 250 units (partially paid with SEK 59,519.53, corresponding to approx. 30% of the invoice amount).
  • Sensors: 1,000 units (partially paid with SEK 52,861.16, corresponding to approx. 50% of the invoice amount).
  • Circuit boards: 295 units (fully paid but held by the supplier at the company’s request).
  • Chassis: 100 units (fully paid but held by the supplier at the company’s request).

Please note that there are different suppliers for all the aforementioned components and that the suppliers of motors and sensors, as far as is known, only deliver the components once the full invoice amounts have been paid in their entirety.

g) The right to enter into the company’s existing agreements, e.g., lease agreements, leasing, orders (subject to the counterparty’s approval).


Conduct of the bidding process in the bankruptcy

Tenders are primarily accepted for the entire business and secondarily for parts of the business and assets.

Written tenders, excluding value-added tax, regarding the business or parts of the business/assets, must be received by the bankruptcy administration via associate Stephan Chaanine at [email protected], no later than November 25, 2025, at 12:00 PM.

All bids must be financed and payable immediately and must clearly state the bidder’s name and contact details.

The bankruptcy estate reserves the right of free evaluation of received bids as well as the right to sell all or part of the business while the tender process is ongoing and the right to extend the tender period.

Reservations

The bankruptcy estate transfers all property in its current condition. The bankruptcy estate provides no guarantees regarding the possibilities for a buyer to use or dispose of the company’s intellectual property rights (patents, trademarks, website, and app). Use of these is at the buyer’s risk.

A takeover of property covered by agreements regarding, for example, rent, leasing, or installment plans requires the approval of the counterparty in the respective agreement.

The bankruptcy estate reserves the right to correct any typographical errors or inaccuracies in this tender documentation.
