1.      The company

Vironova Bioanalytics AB, Swedish reg. no. 556800-2959, (“Vironova BioAnalytics”) was declared bankrupt on 12 October 2023. Attorney-at-law Peter Eriksson at Carler Law Firm (Sw. Advokatfirman Carler) was appointed as official receiver.

Vironova BioAnalytics has in its operations provided laboratory, research and quality control services. Vironova BioAnalytics is a GMP-certified service provider of transmission electron microscopy (TEM) analysis. Vironova BioAnalytics specializes in nanoparticle analysis with a specific focus on the characterization of components that are used for vaccines and gene-therapies. Vironova BioAnalytics operations have been conducted from offices at Gävlegatan 22, Stockholm, Sweden.

On the day of the bankruptcy, Vironova BioAnalytics’ operations were ongoing, with approximately 34 employees.

The bankruptcy estate hereby requests bids on all or part of Vironova BioAnalytics’ business and assets.

It should be emphasized that a buyer of the business/assets does not assume Vironova BioAnalytics’ debts.

2.      The business and the assets

The assets are briefly specified in the following appendices:

• Inventory (Sw. inventarier), Appendix 1
• IP-rights, Appendix 2
• Shares in Intelligent Virus Imaging Inc., reg. no. 33633595, jurisdiction in Oregon (US), holder of certain patents, see Appendix 2

The property listed under the heading SEPARATIONSGODS in Appendix 1 is owned by certain third parties and will not be sold by the bankruptcy estate. However, the bankruptcy estate has initiated a dialogue with the owner of the Thermo Scientific Glacios Microscope for the purpose of, if possible, finding a solution for a buyer regarding this microscope.

The bankruptcy estate does not provide any warranties regarding the accuracy and completeness of the information provided in this prospect, the appendices or otherwise. The appendices may contain errors.

3.      Disclaimer

The property will be sold “as is” and “where is”. It is the responsibility of the buyer to carry out the necessary inspections of the property and to make an independent assessment thereof in order to clarify, e.g., the scope of the assets and to detect any errors and defects.

Assignment of any agreements may require the approval of the respective counterparty in each agreement.

The buyer will be responsible for ensuring that the IP-rights can be transferred and used without making any infringement of any IP-right belonging to a third party.

4.      The bidding procedure

The sale of the assets is planned to be completed as soon as possible. Therefore, preliminary (but not binding) bids should be placed promptly and no later than 26 October 2023. The bankruptcy estate intends to proceed with negotiations based on the placed bids. Bids are to be sent to associate Stephan Chaanine by e-mail.

The bankruptcy estate reserves the right to choose any bid on any terms, to prolong the deadline to place bids and to sell the assets before the deadline to place bids has passed.
